Terms of Service
1. Who We Are
Oni AI Mastering is operated by Oni Mastering Inc., a corporation organized under the laws of the State of New York ("Oni," "we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of onimastering.com and the services offered through it (the "Service").
By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
2. What the Service Does
Oni is a browser-based audio mastering tool. You upload an audio file; our AI-assisted mastering engine (with an interactive voice/chat "engineer") processes it in your browser; you download the mastered result. Processing happens client-side in your browser using Web Audio APIs, with our backend providing the conversational AI and voice features.
3. Eligibility [REVIEW]
You must be at least 16 years old to create an account. If you are under 18, you represent that you have a parent or guardian's permission to use the Service and, where applicable, to make purchases. [We recommend confirming this age threshold with counsel — some jurisdictions and payment processors have different requirements, and COPPA considerations apply if you knowingly permit users under 13.]
4. Accounts
You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at [email protected] if you believe your account has been compromised.
5. Your Content and Ownership
You own your music. You retain all rights, title, and interest in any audio you upload and in the mastered output you create using the Service. We claim no ownership over your uploads or your mastered files.
By uploading a file, you represent that you have the necessary rights to that audio (e.g., you created it, or you have permission to master it) and that mastering it doesn't infringe anyone else's rights.
We do not use your uploads to train AI models. Your audio is processed solely to generate your mastered output and is not used for model training, shared with third parties for their own purposes, or repurposed in any way beyond delivering the Service to you.
Data retention: Uploaded audio files are deleted from our systems shortly after processing completes. We do not retain a long-term archive of your uploaded or mastered audio on our servers — your local downloads are your copy of record. [REVIEW — confirm exact retention window with engineering before publishing, e.g., "within 24 hours" or "immediately after your session ends."]
6. Plans, Credits, and Billing
The Service is offered under a credit-based subscription model:
- Free tier: a one-time allocation of credits at signup, no recurring charge.
- Paid tiers (Artist, Pro, Studio): monthly or annual subscriptions, each with a monthly credit allocation.
- Credits refresh monthly and do not roll over, including on annual plans.
- Credit Re-up: a one-time additional credit purchase, available regardless of plan.
Each mastering action (song master, Voice Cleanup/Podcast, stem mastering) consumes a fixed number of credits, disclosed in-app before you use them.
Subscriptions are billed in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation and Refunds
- You may cancel your subscription at any time through the self-serve billing portal (Settings → Manage Subscription).
- Cancellation takes effect at the end of your current billing period — you retain access to your plan's features and remaining credits until then.
- Credits already used are non-refundable.
- We do not offer prorated refunds for early cancellation, except at our discretion or as required by law.
Plan Changes
- Upgrading your plan takes effect immediately, unlocking your new plan's full credit allocation right away.
- Downgrading your plan takes effect immediately for future billing, but your current credit balance is preserved until your next renewal, at which point it resets to your new (lower) plan's amount.
Failed Payments
If a renewal payment fails, we may flag your account and restrict paid-tier access until the payment issue is resolved. We do not immediately delete your account or data solely due to a failed payment.
7. Acceptable Use
You agree not to:
- Use the Service to process audio you don't have the rights to master;
- Attempt to circumvent credit limits, rate limits, or paywalls through technical means;
- Use the Service to generate or process content that is illegal, infringing, or that violates the rights of others;
- Attempt to reverse-engineer, scrape, or interfere with the Service's operation;
- Use the Service to abuse, harass, or generate harmful content via the AI chat/voice features.
We reserve the right to suspend or terminate accounts that violate these Terms.
8. No License or Commercial Use Restrictions on Output
There is no "commercial license" tier or restriction — regardless of your plan, you may use your mastered output however you like, including commercially. Your plan determines which tools and volume of processing you have access to, not what you're allowed to do with the results.
9. Service Availability
We aim to keep the Service available and reliable but don't guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practical.
10. Disclaimers [REVIEW]
The Service is provided "as is." We do not guarantee that mastering results will meet any particular creative or technical standard, and we are not liable for any loss of data, revenue, or opportunity arising from your use of the Service, to the maximum extent permitted by law.
11. Limitation of Liability [REVIEW]
To the maximum extent permitted by law, Oni Mastering Inc.'s total liability arising from your use of the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.
12. Governing Law [REVIEW]
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. [Consider whether you want a venue/arbitration clause here — that's a real strategic choice, not boilerplate, and worth discussing with an attorney.]
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date, and where appropriate, we'll provide notice through the Service.
